Welcome to OrngCactus (“we,” “our,” “us”). By accessing our website, applying to join, or using our retail space and related services, you (“Brand,” “you,” “your”) agree to these Terms & Conditions. Please read them carefully before participating in our platform.

1. Eligibility

  • You must be a legally registered business or an individual with the legal right to sell your products in India.


  • Products must comply with all applicable laws, regulations, and intellectual property rights.


2. Services Provided

OrngCactus offers:

  • Shared retail space in our physical store(s) for displaying and selling your products.


  • Marketing support via in-store events, social media features, and community promotions.


  • Basic store infrastructure (racks, signage, POS integration).


3. Fees & Payments

  • First Month: ₹0 rent and ₹0 setup fee (introductory offer).


  • After First Month: Monthly rent for allocated space + 20% commission on all in-store sales.


  • Rent amount is communicated during onboarding and may vary by store location or space size.


  • Commission is deducted before sales proceeds are transferred to you.


4. Brand Responsibilities

By joining OrngCactus, you agree to:

  • Provide products that are safe, legal, and of acceptable quality.


  • Maintain sufficient stock for your allocated retail space.


  • Supply accurate product details, pricing, and branding materials.


  • Remove or replace damaged or expired goods promptly.


  • Keep your space tidy and consistent with store aesthetics.


5. Sales & Inventory Management

  • All in-store sales are processed through OrngCactus’s POS system.


  • Sales reports will be shared periodically (weekly or monthly).


  • Brands must notify OrngCactus of any special promotions, discounts, or changes in pricing.


6. Marketing & Promotions

  • OrngCactus may feature your products in promotional content, events, and advertisements at its discretion.


  • You grant us a non-exclusive, royalty-free license to use your brand name, logo, and product images for promotional purposes.


7. Liability & Indemnity

  • OrngCactus is not liable for indirect losses, lost profits, or damages arising from your participation in the store.


  • We are not responsible for product defects, warranty claims, or disputes with customers related to your brand.


  • You agree to indemnify and hold OrngCactus harmless from any claims, liabilities, or expenses arising from your products or conduct.


8. Damage & Loss

  • OrngCactus takes reasonable security measures but is not liable for theft, damage, or loss beyond normal wear and tear.


  • Insurance for products is the brand’s responsibility unless otherwise agreed in writing.


9. Termination

  • Either party may terminate the agreement with 30 days’ written notice.


  • OrngCactus may terminate immediately if you violate these Terms, fail to pay rent/commission, or engage in illegal activities.


  • Upon termination, you must remove all products and branding from our store within 7 days.


10. Dispute Resolution

  • Any disputes will be resolved amicably through discussion.


  • If unresolved, disputes will be subject to the jurisdiction of courts in New Delhi, India.


11. Changes to These Terms

We may update these Terms & Conditions from time to time. Updated terms will be posted on our website with a new “Last Updated” date.
