Welcome to OrngCactus. These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and physical retail spaces. By using our platform, you acknowledge that you have read, understood, and agreed to these Terms.
1. Eligibility
To partner with OrngCactus, you must own or represent a legally registered streetwear or clothing brand.
You must be at least 18 years old to enter into an agreement with us.
OrngCactus provides shared offline retail space for multiple brands under one roof.
Each brand is allocated a dedicated section for showcasing and selling its products.
We may also offer marketing support, pop-up opportunities, and event collaborations.
Brands are responsible for ensuring the authenticity, quality, and legal compliance of their products.
Counterfeit, plagiarized, or offensive items are strictly prohibited.
Brands must maintain updated inventory and pricing information as requested by OrngCactus.
4. Fees & Commission
Our standard model includes:
A monthly participation fee (waived during promotional offers, e.g., the first quarter free).
A sales commission, deducted on every transaction.
Fees, commissions, and payment terms will be shared with each brand before onboarding.
Late or missed payments may result in suspension or removal from the store.
5. Marketing & Promotion
OrngCactus may use brand names, logos, and product images for promotional purposes (online and offline).
Brands may be invited to participate in collaborative marketing campaigns, influencer partnerships, or themed events.
6. Intellectual Property
All trademarks, designs, and brand content remain the property of the respective brand.
OrngCactus branding, logos, website content, and store design remain the intellectual property of OrngCactus.
Neither party may use the other’s intellectual property without written consent, except as described under promotional activities.
7. Liability & Indemnity
OrngCactus provides retail space and facilitation services but is not responsible for:
Customer disputes over product quality, fit, or warranty.
Any loss, theft, or damage to inventory (unless caused by proven negligence on our part).
Brands agree to indemnify OrngCactus against claims, damages, or costs arising from their products or operations.
8. Termination
OrngCactus reserves the right to terminate a brand’s participation if:
Terms are violated.
Payments are not made.
Products are found to be counterfeit, harmful, or unlawful.
Brands may voluntarily terminate their participation with 30 days’ written notice.
9. Modifications to Terms
OrngCactus may update these Terms at any time.
Brands will be notified of significant changes via email or official communication channels.
Continued use of services after updates implies acceptance of the revised Terms.
10. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes shall fall under the jurisdiction of courts in New Delhi.
